Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of the CompliOS platform and website (collectively, the "Service"), operated by Drawbridges Business Services Ltd ("we", "us", "our"), a company registered in England and Wales (Company No. 15260510).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Service Description

CompliOS is a cloud-based anti-money laundering (AML) compliance platform designed for UK-regulated professionals, including accountants, solicitors, and estate agents. The Service provides tools for client due diligence, risk assessment, PEP and sanctions screening, compliance monitoring, and regulatory reporting.

Account Registration

To use the Service, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code
  • Resell, sublicense, or redistribute the Service without our written consent

Data Ownership

You retain all ownership rights to the data you submit to the Service ("Your Data"). We do not claim ownership of Your Data. We process Your Data solely to provide the Service in accordance with our Privacy Policy and any applicable data processing agreement.

Upon termination of your account, you may request export of Your Data in a machine-readable format within 30 days. After this period, we may delete Your Data unless retention is required by law.

Intellectual Property

The Service, including its software, design, text, graphics, and other content, is owned by Drawbridges Business Services Ltd and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period.

Payment Terms

Subscription fees are billed monthly or annually in advance, as selected during registration. All prices are in GBP and exclusive of VAT unless stated otherwise. Payments are processed securely via Stripe. We reserve the right to change pricing with 30 days' written notice.

If payment fails, we will notify you and provide a grace period of 7 days to resolve the issue. Continued non-payment may result in suspension or termination of your account.

SLA Commitments

We commit to a 99.9% uptime Service Level Agreement (SLA) for the CompliOS platform, measured on a monthly basis. Uptime excludes scheduled maintenance windows, which will be communicated at least 48 hours in advance.

If we fail to meet the 99.9% uptime commitment in any calendar month, affected customers on eligible plans may request a service credit proportional to the downtime experienced.

Limitation of Liability

To the maximum extent permitted by law, Drawbridges Business Services Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Service immediately if you breach these Terms, fail to pay fees, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall continue in effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms.

Dispute Resolution

In the event of a dispute, we encourage you to contact us first at contact@complios.co.uk to seek an informal resolution. If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal proceedings in the courts of England and Wales.
